whereastheinstitutiondesirestopurchaseandthecontractordesirestoprovidecertainentertainmentservices,thepartiesherebyagreetothetermsandconditionssetforthherein.
1.thecontractorwillprovideentertainmentconsistingof_________________________.

6.thecontractorwillberesponsibleforprovidingthefollowingequipment/services:(sound,lighting,security,etc.)
7.institutionshallmakepaymenttothecontractorbyuniversitycheckintheamountof__________;madepayableto________(ein______________)uponcompletionoftheentertainmentperformance.
8.theinstitutionshallberesponsibleforanyapplicableamusementorsalestax.
9.thecontractorwarrantsthatnopartofthetotalcontractamountprovidedhereinshallbepaiddirectlyorindirectlytoanyofficeroremployeeofthestateoftennesseeaswages,compensation,orgiftsinexchangeforactingasofficer,agent,employee,subcontractor,orconsultanttothecontractorinconnectionwithanyservicesperformedrelativetothiscontract.thecontractorfurtherwarrantsthatwithinthepastsixmonthshehasnotbeenandduringthetermsofthiscontractwillnotbecomeanemployeeofthestateoftennessee.
10.theinstitutionreservestherighttointerruptorterminatetheentertainment,oranyportionthereof,ifduringtheentertainmentperformance,theinstitutiondetermines,initssolediscretion,thatsuchactioniswarrantedtomaintainsecurityorcompliancewithfederal,stateorlocallawsorregulationsoftennesseeboardofregentspolicy.suchaction,inandofitself,shallnotaffecttheinstitution’sobligationforpaymentunderthetermsofthiscontract;provided,however,thatpaymentmaybewithheldifsuchinterruptionorterminationisnecessaryduetoafailurebythecontractortoobserveinstitutionpoliciesofwhichithasbeeninformed.
11.thecontractoragreestoassumefullresponsibilityforpaymentofanyandallcopyrightroyaltiesduefortheentertainmentperformanceprovidedhereunder.thecontractorfurtheragreestoassumefullresponsibilityforanycopyrightinfringementwhichoccursduringthecourseofsaidperformanceandagreestoindemnifyandholdtheinstitutionharmlessfromanyandallliabilitiesanddamagesarisingoutofanyactionforcopyrightinfringement.
12.nopersononthegroundsofrace,color,religion,sex,creed,age,disability,nationalorigin,orveteranstatuswillbeexcludedfromparticipationin,orbedeniedbenefitsof,orotherwisebesubjectedtodiscriminationintheperformanceofthisagreementorintheemploymentpracticesofthecontractor.
13.thecontractorshallmaintaindocumentationforallchargesagainsttheinstitutionunderthisagreement.thebooks,records,anddocumentsofthecontractor,insofarastheyrelatetoworkperformedormoneyreceivedunderthisagreement,shallbemaintainedforaperiodofthreefullyearsfromthedateofthefinalpayment,andshallbesubjecttoaudit,atanyreasonabletimeanduponnotice,bytheinstitutionorthecomptrollerofthetreasury,ortheirdulyappointedrepresentatives.
14.theundersignedagentonbehalfofthecontractor,warrantsthathe/shehastheauthoritytoexecutethisagreementonbehalfoftheperformingartistsandfurtherwarrantsthattheperformingartistshaveagreedtobeboundbythetermsandconditionsstatedherein.
15.anyandallclaimsagainsttheinstitutionforpersonalinjuryorpropertydamageresultingfromthenegligenceoftheinstitutioninperforminganyresponsibilitiesspecificallyrequiredunderthetermsoftheagreementshallbesubmittedtotheclaimscommissionofthestateoftennesseeinthemannerprescribedbylaw.damagesrecoverableagainstinstitutionshallbelimitedexpresslytoclaimspaidbytheclaimscommissionpursuanttot.c.a.section9-8-301etseq.
